Get Smart About Term Sheets: How to Read / What to Negotiate

Term Sheets form the basis of your relationship with any funder, whether it is an angel, an angel group, or a venture capital firm. They also are written in legal language, which can be difficult for the average entrepreneur to follow. This program covers the term sheets in plain English and offers pointers on what is and is not negotiable.

David Pierson is a partner in the Business Department of Foley Hoag and chairs the firm’s Venture Capital/Emerging Companies Practice Group. He represents a broad range of companies in a variety of industries, including companies in the software and technology, life sciences and cleantech industries.

  • The parties to an early-stage financing transaction, their roles and objectives, and how to prepare the early-stage company for a term sheet negotiation ahead of time
  • Understanding of the material terms of a financing term sheet
  • What to negotiate vs. less negotiable/non-negotiable terms
