Funding the idea

Whether its a small seed round from friends and family or a complex venture financing, each year we represent clients raising hundreds of millions of dollars to turn their ideas into practical revenue-generating business applications.  From angel and venture financings to venture debt, traditional bank debt, growth equity, and project finance, we are experienced in representing startup companies in all forms of financing. 

We were part of the initial group of lawyers that developed the National Venture Capital Association’s model legal documents for venture financing’s, and we continue to be an active participant in the working group.  We also are the national and regional sponsor of the Angel Capital Association, the trade association that supports angel investment groups in North America. 

We routinely leverage our extensive network to introduce our clients to potential financing sources that are appropriate for their business model.  In addition, we maintain on our website a directory of venture capital and angel groups as a resource for entrepreneurs.

We also have experience representing individual angel investors, angel groups, venture capitalists, banks, private investment funds, hedge funds, and small business investment companies (SBICs), which are the most likely sources of financing for startup companies. This means we can speak the language of lenders and investors, and we know what it takes to obtain funding from them.

We also closely monitor venture capital transactions and publish our findings in our quarterly publication, Venture Perspectives.  All of these experiences give us fresh perspective on the financing environment and keep us up to date on what is “market” in the angel and venture communities.

Funding the project

We work with our clients to structure special-purpose entities for developing clean energy projects and other projects that are suitable for project finance structures. These entities are aimed at minimizing risk to investors and developers, capitalizing on the various tax and other governmental incentives available, and otherwise maximizing returns to investors. Our business and tax departments work hand-in-hand to provide strategic, creative and practical advice geared toward getting your projects built in the most cost-effective and profitable manner possible.
