David chairs Foley Hoag’s Venture Capital/Emerging Companies Practice Group. He represents a broad range of emerging companies, including companies in the software and technology, life sciences, cleantech and other industries. David also represents U.S. and foreign venture capital firms in connection with their investments throughout the U.S. His practice at the EEC focuses in particular on start-up companies, and includes providing advice regarding corporate formation, founder arrangements, angel and venture capital financings, equity incentive plans, mergers and acquisitions and other strategic transactions, contract negotiations and general corporate matters.

- Serves as outside general counsel to BitWave Semiconductor, Incorporated, a fabless semiconductor company and innovator of programmable radio frequency integrated circuits. Has represented the company since its formation and in all its legal affairs, including venture capital financing transactions, equity incentive arrangements, Board and stockholder matters and licensing and other contract negotiations
- Serves as outside general counsel to VPIsystems, Inc., a leading provider of network planning software and services for the global telecommunications industry. Has represented the company since its formation and in all its legal affairs, including acquisitions, venture capital financing transactions, equity incentive arrangements, Board and stockholder matters and licensing and other contract negotiations
- Serves as outside general counsel to Ubidyne, Inc., a leading provider of leading developer of digital wireless technology for mobile users. Has represented the company in all its legal affairs, including venture capital financing transactions, equity incentive arrangements and licensing and other contract negotiations
- Serves as outside general counsel to ConstructSecure, Inc., a provider of web-based services for the evaluating the safety profile of contractors and sub-contractors in the non-residential construction industry. Has represented the company since its formation and in all its legal affairs, including equity incentive arrangements, Board and stockholder matters and licensing and other contract negotiations
- Represents TVM Capital, a global venture and growth capital firm with offices in Munich and Boston, in its investments throughout the United States, primarily in life sciences and information technology companies
- Represented The J. Jill Group, Inc., a multi-channel specialty retailer of women’s apparel, from its formation through its sale to Talbots, Inc., including venture capital financing transactions, purchases and sales of businesses and lines of business, public offerings, PIPE financings, securities law matters, corporate governance matters including Sarbanes-Oxley compliance, equity incentive arrangements, Board and stockholder matters, contract negotiations and a variety of other matters
