What is a nonsolicitation agreement?
Nonsolicitation agreements vary in length and scope, but generally, in the employment context, a nonsolicitation agreement will prevent the restricted party from attempting to attract your employees or customers during the restricted party's employment and for a period of time after the employment ceases. In cases where a noncompete is also being imposed, the durations of the nonsolicitation and noncompetition provisions are generally coterminous. Nonsolicitation agreements are also common in joint ventures, services agreements with independent contractors and other situations where one party might have an opportunity (and a motivation) to your human capital or customer relationships.
